These Terms & Conditions (“Terms”) govern your access to and use of the NewClear Labs website (accessible in both Light and Dark modes) and outline the baseline terms for our custom software engineering, mobile application, and web application services.

By accessing our website, interacting with our contact forms, or engaging our services, you agree to these Terms. Specific client software engagements are governed by a signed Statement of Work (SOW) or Service Agreement, which takes precedence over these general terms if any conflict arises.

NewClear Labs operates as a high-performance software engineering studio. Our core services include, but are not limited to:

• Custom Web Application Development: High-availability, scalable React architectures tailored to modern business logic.
• Mobile Application Development: High-performance iOS and Android applications built natively or cross-platform.
• Website Engineering & Design: Robust, responsive corporate and enterprise websites.
• End-to-End Product Design: Transforming early concepts into production-ready software solutions.

Project timelines, deliverables, milestones and formal acceptance criteria are defined per engagement in writing within an executed Statement of Work. Any preliminary estimates or quotes provided prior to a signed SOW are indicative only and do not constitute binding commitments.

A. Client Deliverables

Upon receipt of full payment under the applicable Statement of Work, all custom code, assets and deliverables specifically commissioned for and created for the client transfer to the client, subject to the terms of the individual engagement agreement.

B. Pre-Existing Materials & Proprietary Products

NewClear Labs retains full ownership of:

• Our pre-existing codebases, internal tooling, reusable software frameworks and software libraries.
• Our proprietary in-house products, including Jyro AI (our native generative video platform) and any future internal software innovations.
• Any general technical methodologies, trade secrets and know-how developed during or prior to performing services.

Where any pre-existing software, component or library owned by NewClear Labs is embedded within a client deliverable, the client is granted a perpetual, non-exclusive, worldwide, royalty-free licence to use such materials solely as integrated within that specific deliverable.

To ensure project success and maintain project schedules, clients agree to:

• Provide timely access to required business information, design assets, third-party system credentials and key decision-makers.
• Confirm and warrant that all content, assets, trade secrets or data provided to NewClear Labs can lawfully be used for the engagement without infringing third-party intellectual property rights.

• All project fees, billing schedules (e.g. milestone-based or hourly rates) and payment windows are specified in the applicable Statement of Work.
• Invoices must be settled within the agreed timeframe. NewClear Labs reserves the right to suspend or pause active development, server provisioning or code delivery if invoices remain past due beyond the agreed terms.

• Confidentiality: Both NewClear Labs and the client agree to keep all non-public technical, business, financial and proprietary information confidential, using it strictly for the execution or receipt of services.
• Data Privacy: Personal data collected via our website or forms is processed in accordance with our Privacy Policy and Data Protection Policy. Cookie usage and tracking preferences can be managed anytime via our on-site Cookie Consent interface.

• Service Standards: Services are delivered with professional skill, diligence and industry-standard engineering quality.
• Limitation of Liability: Except where liability cannot be restricted or excluded by law, NewClear Labs is not liable for indirect, incidental, special or consequential losses (including lost profits, server downtime or data loss).
• Cap on Liability: The maximum aggregate liability of NewClear Labs for any claims arising under an engagement is strictly limited to the total fees actually paid by the client under the specific Statement of Work giving rise to the claim.
• Website Disclaimer: This website and its contents are provided on an “as is” and “as available” basis for general informational purposes.

When using the NewClear Labs website, you agree not to:

• Attempt to gain unauthorized access to our servers, infrastructure or codebases.
• Reverse engineer, decompile or scrape software assets, product showcases (including Jyro AI previews) or design components.
• Introduce malicious code, viruses or automated scripts intended to disrupt platform operations.

NewClear Labs reserves the right to update or modify these Terms from time to time to reflect changes in legal requirements, operational practices or website features. The updated version published on this page governs your ongoing use of the site.
